I know why, It needed the approval of SoJ, SoE and SoA, both SoJ and SoE greenlighted it, SoA, the twerps they are, declined. Reason: "We are unfamiliar with the Streets of Rage series"
I remember an interview with Yuzo Koshiro saying that they (Ancient) actually had a protype of the game up and running but was rejected by the higher-ups at SoJ. I forget what the exact reason was, but I think we can guess pretty easily. Then again, they did make a sequel to Rent-a-Hero, so who knows...

Ah well, I've never been a fan of the series so I am not troubled but I feel bad for the many fans... maybe it'll see the light of day on a different console....
