Reminds me a bit of Bioship Paladin. Terrible game.
I can barely remembering anything about this game, except that you had a ship that could get upgrades that would actually put new parts on your ship, and I seem to remember that you'd get really powerful if you managed to get several pieces snapped on. At least, I *think* there were pieces, I played this probably twice, something like ten years ago.
I also vaguely remember that everything seemed kind of 'large', as in, a bit bigger than your normal shooter.
That's about all I can remember off the top of my head. Any guesses?

I'd swear it had weird 'underground' or warp areas or something, and had a bit more elaborate transformation, but then again, I also thought GI Joe was cool

It could be Terra Cresta, a game made by Nichibutsu (who made Dangar as well). It has a similar part-accumulation upgrade system. I believe that if you get all the parts, you turn into a phoenix-sort-of-thing.
